Terms and Conditions

These Terms and Conditions ("Terms") form a binding agreement between you and ScriptExpert, located at Romania, Constanta ("ScriptExpert", "we", "us" or "our"), concerning your use of scriptexpert.app, ScriptExpert Code Editor, related downloads, licenses, updates, documentation, plugins and support services.
By downloading, installing, purchasing, activating or using ScriptExpert, you confirm that you have read and accepted these Terms. If you act for an organization, you confirm that you are authorized to bind it.
1. Eligibility and account information
You must be legally capable of entering a contract and must provide accurate contact, billing and licensing information. You are responsible for keeping account credentials, purchase codes, license keys, API keys and support access secure. You must notify us promptly of suspected unauthorized use.
2. Product editions
ScriptExpert may be offered in Free, Pro, promotional, marketplace or other editions. Features, project limits, plugin access, support level and commercial rights may differ by edition and are described on the product page, purchase page or license record.
The Free edition may be used subject to these Terms and its displayed limitations. Pro access requires a valid paid license unless expressly provided through a promotion, bundle or authorized marketplace.
3. License grant
Subject to payment where applicable and continued compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the purchased edition of ScriptExpert for your own lawful development work. Ownership of ScriptExpert and all intellectual-property rights remains with us and our licensors.
Unless the purchase terms state otherwise, a license is assigned to the purchaser and may be limited by user, device, activation count, organization, subscription period or other published condition. You may create and commercially distribute applications or websites that you independently develop using ScriptExpert; however, you may not distribute ScriptExpert itself or its proprietary components as part of those projects.
4. Restrictions
You may not:
- Resell, sublicense, rent, lease, share, publish or redistribute ScriptExpert, license keys, paid plugins or update packages except with written authorization.
- Bypass license checks, activation limits, edition restrictions, update authorization or security measures.
- Use a purchase code or license key obtained fraudulently, from an unauthorized source or for more installations than permitted.
- Remove proprietary notices or misrepresent ScriptExpert as your own product.
- Reverse engineer, decompile or disassemble proprietary portions except where such restriction is prohibited by mandatory law, and then only to the minimum legally permitted extent.
- Use the product or services to create, distribute or facilitate malware, credential theft, unauthorized access, unlawful surveillance, fraud or other illegal activity.
- Attack, overload, probe or interfere with the website, licensing, update, support or download infrastructure.
5. Open-source and third-party components
ScriptExpert includes or interacts with third-party software, open-source libraries, local server components, AI providers, plugins and services. Those components may be governed by separate licenses and notices. Their owners retain all rights in their components. A third party may change, limit, discontinue or charge for its service independently of us.
6. AI Agent and provider responsibilities
AI output may be incomplete, insecure, inaccurate or unsuitable. You are solely responsible for reviewing generated code, commands, database operations, file changes, legal compliance, licenses and production deployment. Plan, Act, Limited and Full access controls reduce risk but do not replace review, backups, testing and professional judgment.
When you configure a cloud AI provider, your prompts, selected file contents, images, context and tool results may be sent to that provider. You are responsible for choosing a provider, maintaining its API account, paying its charges, and ensuring that you are permitted to send the selected data. We do not guarantee the availability, price, model quality or data practices of an independent provider.
7. Local server, terminal, database and FTP tools
ScriptExpert can run commands, manage local services, modify files, access databases and publish through FTP based on your settings and approvals. These operations can overwrite or delete data, expose credentials, change server state or make a website unavailable. You must keep current backups, use appropriate test environments, restrict credentials and verify commands before execution. We are not responsible for damage caused by commands or changes you authorize, generated code you deploy or credentials you configure.
8. Purchases, pricing and taxes
Prices, currencies, taxes, billing periods and included features are shown before purchase or by the authorized seller. You authorize the selected payment provider to charge the displayed amount. You are responsible for applicable taxes unless they are collected at checkout. Exchange rates and provider fees may affect your final amount.
We may change future pricing, editions or feature packaging. A price change does not retroactively alter a completed one-time purchase unless required by law or agreed with you. Subscription renewals, when offered, follow the terms presented at checkout.
9. Delivery and activation
Digital products are normally delivered electronically through a download link, account, purchase email or authorized marketplace. You are responsible for using a correct email address and retaining purchase evidence. Activation may require internet access and may bind a license to permitted installation or machine information according to the purchased plan.
10. Updates
Where lifetime updates are included, this means access to updates released for the licensed product edition while the product remains actively maintained and compatible with the delivery system. It does not guarantee that every future major product, separate service, paid plugin or third-party component will be included. We may discontinue support for obsolete operating systems or runtimes when reasonably necessary for security and maintenance.
11. Plugins
Free and paid plugins may have separate descriptions, prices, support periods and license terms. A plugin can require a compatible ScriptExpert version or a separate activation. We may disable or remove a plugin that creates a security, legal or compatibility risk. Third-party plugin authors are responsible for their own code and representations unless the plugin is expressly identified as our product.
12. Support
Support channels and priority depend on the edition. Support generally covers product installation, licensing and reproducible product defects. It does not include building your project, debugging unrelated third-party code, administering your server, operating an AI provider, recovering lost data or guaranteeing compatibility with every external package.
You must provide enough information to reproduce an issue while removing passwords, API keys, private customer data and other secrets. Abusive, threatening, fraudulent or excessive use may result in support restrictions.
13. Refunds
Eligible purchases may be covered by our 30-day Refund Policy. The policy forms part of these Terms. Refunds are not automatic and may be refused where the eligibility conditions are not met, including abuse, inability to demonstrate a product defect, failure to follow reasonable troubleshooting, unauthorized use, or a request based solely on third-party provider cost, performance or availability.
14. Availability and changes
We aim to maintain the website, downloads, licensing, updates and support, but services may be interrupted for maintenance, security, provider outages, legal requirements or circumstances beyond reasonable control. We may modify the interface, requirements, features, documentation, providers or endpoints to improve or secure the product.
15. Warranty disclaimer
To the maximum extent permitted by law, ScriptExpert and related services are provided "as is" and "as available". We do not warrant uninterrupted operation, error-free code generation, compatibility with every project, provider, plugin, server or operating system, or that AI output will be accurate, secure or suitable for a particular purpose. Mandatory consumer warranties remain unaffected.
16. Limitation of liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, punitive or consequential loss, including lost profits, revenue, data, business opportunity, goodwill, project files, database content or service interruption arising from the product or services. Our aggregate liability for a claim will not exceed the amount you paid directly for the affected ScriptExpert license during the twelve months before the event, except where mandatory law prohibits such limitation.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud, intentional misconduct, death or personal injury caused by negligence where applicable.
17. Indemnity
To the extent permitted by law, you agree to defend and indemnify us against third-party claims arising from your unlawful use, content, deployed applications, infringement, misuse of credentials, unauthorized distribution or breach of these Terms.
18. Suspension and termination
We may suspend downloads, activation, updates or support where we reasonably believe a license is fraudulent, shared beyond permitted limits, used unlawfully, subject to a payment reversal, or otherwise in material breach. Where appropriate, we will provide notice and an opportunity to resolve the issue. On termination, you must stop using the affected paid edition and remove unauthorized copies.
19. Governing law and disputes
These Terms are governed by the laws of Belgium, without prejudice to mandatory consumer rights in your country of residence. The competent courts of our registered location will have jurisdiction unless mandatory law provides another forum. Before filing a claim, the parties should attempt in good faith to resolve the matter through written notice.
20. General provisions
If a provision is unenforceable, it will be limited or removed to the minimum necessary and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without consent; we may assign them as part of a business reorganization or transfer. These Terms, the purchase description, license details, Refund Policy and Privacy Policy form the complete agreement for the relevant service.
21. Changes to these Terms
We may update these Terms for legal, security, technical or product reasons. Revised Terms apply from the published effective date. Material changes affecting an active paid service will receive reasonable notice where required.
